Non Circumvention, Non Disclosure and Confidentiality Agreement

This agreement is entered into as of this date, and shall obligate the undersigned parties as follows:
The Party agreeing to this non circumvention, non disclosure and confidentiality agreement.
AND,
Fromkin Energy LLC having a principal place of business in Coral Springs, Florida 33076, their partners affiliated companies, associates, employees, successors, clients, and assigns.
WHEREAS, the above shall herein after be referred as (the “Party”), jointly, mutually, and reciprocally agree to the terms and conditions expressly stated below and that this agreement may be referenced from time to time in any document(s) or agreement.

WHEREAS, the terms and conditions of this agreement apply to any introduction or exchange of information written or oral, involving financial information, personal or corporate names, contracts initiated by or involving the “Parties”, and any addition, renewal, extension, roll-over, amendment, renegotiating, or new agreement, hereinafter referred to as the (“Project” or “Transaction”).
Now, therefore, it is agreed:

1.	The “party” intending to be legally bound, hereby irrevocably agree and guarantee they shall not, directly or indirectly, circumvent or attempt to circumvent, avoid, or circumvent, with producers, sellers, buyers, brokers, dealers, distributor, refiners, shipping, financial institutions, technology owners, or manufacturers, to change, increase, or avoid directly or indirectly payment of established or to be established fees, or commissions. The party also agrees not to interfere in the continuance of pre-established relationship or intervene in non-contracted relationship with manufacturers or technology owners with intermediaries, entrepreneurs, and legal counsel, or initiate buy/sell relationships, transaction relationships that circumvent one of the “Party” with any corporation, producer, technology owner, partnership or individual revealed or introduced by  the party to one another in connection with any on-going or future “Transaction” or “project”.

2.	Furthermore the “Party” irrevocably agrees that they shall not disclose or attempt to drill natural gas wells for a period of three years from the above written date and a circumference of one hundred fifty miles from the point where Fromkin is drilling wells,  otherwise reveal directly, to any third party, any confidential information provided by one party to the other, or otherwise acquired, particularly, contact terms, product information, or manufacturing process, prices, fees, financing arrangement, schedules, and information concerning the identity of sellers, producers, buyers, lenders, borrowers, brokers, distributors, refiners, manufacturers, technology owners, or their representatives, and specific references, product or technology owners, or their representatives, and specific references, product or technology information, advised by the  “ Party” as being confidential or privileged, without the prior specific written consent of the “Party”(s) providing such information.

3.	Legal remedy for breach of any of the above agreed to covenants shall be governed by the laws of USA State of Florida Broward County of “Party” declaring such breach, in the event that an amicable settlement cannot be agreed to by mutual decision.

4.	Arbitration by a third party; each of the “parties” subject to the declared breach shall be responsible for their own legal expense until settlement or judgment is reached, provided however that the party found in default by a judgment shall compensate in full the aggrieved party for all of its legal expenses, not withstanding any other provisions of the judgment.

5.	This Agreement, as to its subject matter, exclusively and completely states the rights and duties of the “Parties”, sets forth their entire understanding, and merges all their representation and promises. It may be amended only by another written agreement, dually executed by the “parties”.

6.	This Agreement may not be assigned without the consent of both parties. 
 
7.	 In witness whereof, the “Parties” hereto have executed and delivered these covenants by mutual agreement the day and year first written above.

Each representative avows that he/she is duly empowered to bind it to the commitments and obligations contained herein.
